Introduction and Purpose

This Refund and Cancellation Policy (“Policy”) governs all requests for refunds, service cancellations, and billing disputes submitted to TangerineSEO LLC (“Company,” “we,” “us,” or “our”) by clients who have engaged our search engine optimization and digital marketing services (“Services”).

TangerineSEO LLC provides professional, knowledge-based services that require the allocation of specialized personnel, time, tools, and resources at the point of engagement. Due to the nature of these Services, our refund and cancellation terms reflect the costs and commitments incurred from the commencement of each engagement. This Policy is designed to be transparent, fair, and enforceable, and is incorporated by reference into our Terms and Conditions.

By engaging our Services or making a payment to TangerineSEO LLC, you acknowledge that you have read, understood, and agreed to the terms of this Policy. If you have questions about this Policy before engaging our Services, please contact us at office@tangerineseo.com prior to making any payment.

This Policy applies to all clients regardless of geographic location, including clients located in the United States, the European Union, the United Kingdom, and all other jurisdictions. Where mandatory consumer protection rights apply under local law that cannot be contractually waived, those rights are not affected by this Policy.

General Principles

The following principles underpin this Policy and apply to all refund and cancellation requests:

  • TangerineSEO LLC provides services that are consumed progressively.
  • Resources are committed, and work is initiated at or before the formal start date
  • of each engagement. Accordingly, fees paid in respect of work already
  • commenced are generally non-refundable.
  • Refunds are not issued on the basis of dissatisfaction with search engine
  • rankings, organic traffic volume, conversion rates, or any other performance
  • metric. SEO outcomes are inherently variable and are affected by factors outside
  • TangerineSEO LLC's control, including search engine algorithm changes,
  • competitive dynamics, and Client website modifications.
  • All refund and cancellation requests must be submitted in writing to
  • office@tangerineseo.com. Verbal or informal communications do not constitute
  • a valid request under this Policy.
  • TangerineSEO LLC will process all eligible refunds within thirty (30) business
  • days of confirming the refund entitlement. Refunds will be issued via the original
  • payment method where possible.
  • Clients are encouraged to contact TangerineSEO LLC to discuss any concerns
  • or dissatisfaction before submitting a cancellation or refund request. Many issues
  • can be resolved through dialogue, scope adjustment, or service modification.

Monthly Retainer Services

4.1 Billing Structure Monthly retainer fees are invoiced in advance at the start of each billing period.

Payment is due within fourteen (14) calendar days of the invoice date, unless otherwise agreed in writing. The retainer fee covers the full scope of services agreed for that billing period, regardless of whether all deliverables are completed within that exact calendar month.

4.2 Non-Refundability of Retainer Fees Monthly retainer fees are non-refundable once the billing period has commenced and work has been initiated. This applies irrespective of the volume of work completed during the billing period, as fees reflect the reservation of dedicated resources, personnel allocation, and ongoing tool and platform costs incurred from the first day of each billing period.

4.3 Cancellation by the Client A Client wishing to cancel a monthly retainer engagement must provide a minimum of thirty (30) calendar days' written notice to office@tangerineseo.com. The following terms apply to Client-initiated cancellations:

  • Cancellation notice takes effect from the date it is received and acknowledged in
  • writing by TangerineSEO LLC.
  • The engagement will continue and all invoiced fees will remain payable through
  • the end of the current billing period following expiry of the thirty (30) day notice
  • period.
  • No refund will be issued for the billing period in which notice is given or for any
  • prior billing period.
  • TangerineSEO LLC will deliver all completed work product and reports up to the
  • effective cancellation date upon receipt of full payment of outstanding balances.

4.4 Cancellation by TangerineSEO LLC TangerineSEO LLC reserves the right to cancel a retainer engagement in the following circumstances:

  • Non-payment of invoiced fees beyond thirty (30) days of the due date, after
  • written notice has been provided
  • Material breach of the Terms and Conditions by the Client
  • Discovery that the Client's website, business, or requested activities violate
  • search engine guidelines or applicable law
  • Circumstances constituting a Force Majeure Event as defined in the Terms and
  • Conditions
  • Where TangerineSEO LLC terminates an engagement for reasons not attributable to
  • the Client, a pro-rata refund of any prepaid fees for undelivered services during the
  • current billing period will be issued within thirty (30) business days.
  • 4.5 Service Suspension for Non-Payment
  • TangerineSEO LLC reserves the right to suspend delivery of Services if a Client's
  • invoice remains unpaid beyond thirty (30) days of the due date, following written notice
  • of the outstanding balance. Suspension of Services does not constitute a cancellation,
  • and fees continue to accrue during any suspension period attributable to Client non-
  • payment. Services will be reinstated upon receipt of all outstanding amounts.

Project-Based and One-Time Engagements

5.1 Deposits and Advance Payments Project-based engagements typically require an upfront deposit prior to the commencement of work. The deposit amount and payment schedule will be specified in the applicable service proposal or statement of work. Deposits are non-refundable in all circumstances, as they represent compensation for project initiation costs, scoping, resource planning, and preliminary work undertaken by TangerineSEO LLC.

5.2 Cancellation Before Commencement of Work If a Client cancels a project-based engagement in writing before TangerineSEO LLC has commenced any work, the following terms apply:

  • Any deposit paid is non-refundable.
  • No further amounts are due from the Client beyond the deposit, provided
  • cancellation notice is received before Commencement of Work.
  • TangerineSEO LLC will confirm in writing whether Commencement of Work has
  • occurred at the time of the cancellation request.

5.3 Cancellation After Commencement of Work If a Client cancels a project-based engagement after Commencement of Work, the following terms apply:

  • The Client will be invoiced for all work completed up to the date of cancellation,
  • calculated on a pro-rata basis against the total agreed project fee.
  • Any amount paid by the Client in excess of the value of work completed will be
  • refunded within thirty (30) business days of agreement on the value of completed
  • work.
  • TangerineSEO LLC will provide a written breakdown of work completed and the
  • corresponding pro-rata fee calculation within ten (10) business days of receiving
  • the cancellation notice.
  • If the Client disputes the pro-rata calculation, the dispute resolution procedures in
  • Section 9 of this Policy apply.

5.4 Completion and Final Delivery For project-based engagements, final deliverables will be released to the Client only upon receipt of full payment of all outstanding invoices. Partial delivery of completed work may be made at TangerineSEO LLC's discretion, but final reports, audit documents, and strategic outputs will not be released until all fees are settled.

Eligibility for Refunds

6.1 Refundable Scenarios A refund may be issued by TangerineSEO LLC in the following circumstances:

  • TangerineSEO LLC has been paid for a defined scope of work that it has not
  • commenced and will not commence, and the Client has submitted a valid
  • cancellation request (subject to the deposit terms in Section 5.1).
  • TangerineSEO LLC terminates an engagement for reasons solely and
  • demonstrably attributable to TangerineSEO LLC, and prepaid fees exist for
  • services that will not be delivered.
  • A billing error has occurred resulting in an overcharge, duplicate charge, or
  • payment for a service not agreed upon, which TangerineSEO LLC has verified
  • upon investigation.

6.2 Non-Refundable Scenarios Refunds will not be issued in the following circumstances:

  • The Client is dissatisfied with search engine rankings, organic traffic levels,
  • keyword positions, or any other performance outcome, where TangerineSEO
  • LLC has delivered the agreed scope of services.
  • The Client requests a refund on the basis that results did not meet expectations
  • within a specified timeframe, where those expectations were not contractually
  • guaranteed.
  • The Client has made changes to their website, domain, hosting, or technical
  • infrastructure without notifying TangerineSEO LLC, and those changes have
  • adversely affected SEO performance.
  • A third-party search engine algorithm update has negatively impacted the Client's
  • rankings or traffic, where TangerineSEO LLC has performed the agreed services.
  • The Client has failed to provide necessary access, approvals, or information
  • required for service delivery, causing delays or reduced effectiveness.
  • The Client has independently implemented SEO or digital marketing tactics that
  • conflict with TangerineSEO LLC's strategy and have adversely affected
  • performance.
  • Services have been delivered as agreed and the Client subsequently changes
  • their business priorities, strategy, or budget.
  • The free initial consultation or website review provided by TangerineSEO LLC did
  • not result in the Client's desired outcome, as these services are provided at no
  • charge on a no-obligation basis.

Refund Process

7.1 Submitting a Refund Request All refund requests must be submitted in writing to office@tangerineseo.com. The request must include the following information:

  • Client's full name and company name
  • Invoice number or payment reference for the amount in dispute
  • The specific amount for which a refund is requested
  • A clear explanation of the grounds for the refund request, with reference to the
  • applicable section of this Policy
  • Any supporting documentation relevant to the request

7.2 Review and Response TangerineSEO LLC will acknowledge all refund requests within five (5) business days of receipt. We will review the request against the terms of this Policy and the applicable service agreement and will provide a written determination within fifteen (15) business days of acknowledgment. In cases of complexity, we may request additional time and will communicate any extension in writing.

7.3 Approved Refunds Where a refund request is approved, TangerineSEO LLC will process the refund within thirty (30) business days of the approval decision. Refunds will be issued via the original payment method where technically and operationally feasible. Where refund via the original payment method is not possible, an alternative method will be agreed with the Client in writing.

7.4 Declined Refund Requests Where a refund request is declined, TangerineSEO LLC will provide a written explanation of the grounds for the decision. The Client may escalate the matter through the dispute resolution procedures described in Section 9 of this Policy.

Chargeback Policy

8.1 Direct Resolution Requirement TangerineSEO LLC strongly encourages all Clients to contact us directly at office@tangerineseo.com to resolve any billing concerns, payment disputes, or dissatisfaction with Services before initiating a chargeback through their card issuer, bank, or payment provider. Direct resolution is almost always faster, more efficient, and less disruptive than the formal chargeback process.

8.2 Consequences of Unjustified Chargebacks Initiating a chargeback for Services that were legitimately rendered and delivered in accordance with the agreed scope constitutes a material breach of this Policy and the Terms and Conditions. In the event of an unjustified chargeback, TangerineSEO LLC reserves the right to:

  • Immediately suspend all ongoing Services without notice pending resolution of
  • the chargeback
  • Submit comprehensive evidence of service delivery, including project records,
  • communications, deliverables, and time logs, to the relevant payment processor
  • in defense of the chargeback
  • Pursue recovery of the disputed amount through collections, civil proceedings, or
  • other legal remedies available under applicable law
  • Terminate the Client's engagement permanently upon resolution of the
  • chargeback process
  • Report the chargeback to relevant fraud prevention and credit reference
  • databases where permitted by law

8.3 Legitimate Chargeback Scenarios TangerineSEO LLC acknowledges that a chargeback may be a legitimate recourse in the following limited circumstances:

  • An unauthorized transaction has occurred on the Client's payment method that
  • was not authorized by the Client or an authorized representative
  • A duplicate charge has been applied in error and TangerineSEO LLC has failed
  • to resolve the matter following written notice
  • TangerineSEO LLC has charged an amount materially different from the amount
  • agreed in the applicable service proposal or invoice
  • Even in these circumstances, TangerineSEO LLC requests that the Client first contact
  • us at office@tangerineseo.com to allow us the opportunity to investigate and resolve
  • the matter promptly before any chargeback is initiated.
  • 8.4 Chargeback Response Procedure
  • Where a chargeback is initiated, TangerineSEO LLC will respond to the payment
  • processor's request for information within the timeframes required by the processor's
  • dispute resolution procedures. We will provide all available evidence of service delivery
  • and contractual agreement. Where the chargeback is resolved in TangerineSEO LLC's
  • favor, any previously suspended Services may be reinstated at TangerineSEO LLC's
  • sole discretion, subject to settlement of all outstanding amounts.

Billing Disputes

9.1 Raising a Dispute If a Client believes that an invoice contains an error, includes a charge for services not agreed upon, or reflects an amount inconsistent with the applicable service agreement, the Client must notify TangerineSEO LLC in writing at office@tangerineseo.com within seven (7) calendar days of the invoice date. The dispute notice must specify:

  • The invoice number and date
  • The specific line item or amount disputed
  • The grounds for the dispute

9.2 Payment of Undisputed Amounts Raising a billing dispute does not entitle the Client to withhold payment of undisputed amounts. Any portion of an invoice that is not subject to a good-faith dispute must be paid by the original due date. Failure to pay undisputed amounts may result in late payment charges in accordance with the Terms and Conditions.

9.3 Resolution Timeline TangerineSEO LLC will acknowledge all billing disputes within five (5) business days and will work in good faith to resolve the dispute within thirty (30) calendar days of the dispute notice. Where the dispute cannot be resolved within this period, the parties will proceed to the dispute resolution process set out in the Terms and Conditions.

Payment Authorization and Recurring Billing Consent

By engaging TangerineSEO LLC for a monthly retainer service and providing payment details, the Client authorizes TangerineSEO LLC to issue invoices and, where applicable, to process recurring payments in accordance with the agreed billing schedule. The Client acknowledges that:

  • Monthly retainer fees will be invoiced at the start of each billing period in
  • accordance with the agreed fee schedule.
  • Where a Client has authorized automatic payment processing via Stripe or
  • another payment platform, the agreed fee will be charged to the Client's
  • designated payment method at the start of each billing period.
  • The Client is responsible for ensuring that sufficient funds are available and that
  • payment details remain current throughout the engagement.
  • Notification of any change to payment details must be provided to TangerineSEO
  • LLC at least five (5) business days before the next scheduled billing date.

Consumer Rights Under EU and UK Law

Clients located in the European Union or the United Kingdom may have statutory rights in addition to those described in this Policy. In particular:

  • Under EU Directive 2011/83/EU on Consumer Rights and equivalent UK
  • legislation, consumers who purchase services online may have a right of
  • withdrawal within fourteen (14) calendar days of entering into the service
  • contract, provided that services have not yet commenced. By requesting that
  • TangerineSEO LLC commence work immediately upon engagement, you
  • expressly acknowledge that the right of withdrawal may be forfeited once service
  • delivery begins.
  • Where TangerineSEO LLC commences Services at the Client's explicit request
  • during the withdrawal period, and the Client subsequently exercises the right of
  • withdrawal, the Client may be required to pay for the proportion of Services
  • provided up to the point of withdrawal.
  • Nothing in this Policy is intended to limit or exclude any statutory rights that
  • cannot be waived or excluded under applicable law in the Client's jurisdiction.

If you are uncertain about your statutory rights, we recommend seeking independent legal advice or contacting the relevant consumer protection authority in your jurisdiction.

Modifications to This Policy

TangerineSEO LLC reserves the right to update or modify this Refund and Cancellation Policy at any time. Changes will take effect upon publication of the updated Policy on our website with a revised Effective Date. For existing engagements, the version of this Policy in effect at the time the service agreement was entered into will continue to govern refund and cancellation rights for that engagement, unless the Client expressly agrees to the updated terms in writing.

We encourage all Clients to review this Policy periodically and prior to renewing or extending any engagement with TangerineSEO LLC.
